Please read these Terms of Service ("Terms") carefully before using the Stanza mobile application and website (collectively, the "Service"), operated by Centurix EOOD ("we", "us", "our"). Stanza is a product of Centurix EOOD, a company registered in Bulgaria. The Stanza website and the Stanza mobile application are owned and operated by Centurix EOOD.
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you must not access or use the Service.
1. Definitions
- "App" refers to the Stanza mobile application available on Apple App Store and Google Play Store.
- "Content" refers to all audio guides, text, images, maps, and other materials provided through the Service.
- "User", "you", or "your" refers to the individual accessing or using the Service.
- "Subscription" refers to a recurring payment plan providing access to Content for a defined period.
- "One-Time Purchase" refers to a single payment granting permanent access to a specific piece of Content (e.g., a venue guide or country pass).
- "Digital Passport" refers to the in-app feature tracking your visited venues and collected stamps.
2. Eligibility
You must be at least 13 years old (or the applicable age of digital consent in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this age requirement. If you are under 18, you represent that you have obtained parental or guardian consent to use the Service.
3. Account Registration
To access certain features, you must create an account. When creating an account, you agree to:
- Provide accurate, current, and complete information.
- Maintain and promptly update your account information.
- Keep your login credentials secure and confidential.
- Accept responsibility for all activity that occurs under your account.
- Notify us immediately of any unauthorized use of your account.
We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, outdated, or incomplete, or if you violate these Terms.
4. Subscriptions and Purchases
4.1 Payment Terms
Paid features of the Service are available through subscriptions and one-time purchases. All payments are processed through the Apple App Store or Google Play Store ("Platform Providers"). By making a purchase:
- You agree to pay all fees associated with your purchase at the prices in effect when the charges are incurred.
- Payment will be charged to your Apple ID or Google Play account upon confirmation of purchase.
- All prices are displayed in your local currency as determined by the Platform Provider and include applicable taxes where required by law.
4.2 Subscriptions
- Subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before the end of the current period.
- You can manage or cancel your subscription through your Apple ID or Google Play account settings at any time.
- Cancellation takes effect at the end of the current billing period. You will retain access to subscription features until the end of the period you have paid for.
- We reserve the right to change subscription pricing. Price changes will not affect the current billing period and will be communicated in advance.
4.3 One-Time Purchases
- One-time purchases (individual venue guides, country passes, or lifetime access) grant you a non-exclusive, non-transferable license to access the purchased Content.
- One-time purchases do not expire and remain accessible as long as the Service is operational and your account is active.
4.4 Free Content
Certain venues and features may be available free of charge at our discretion. We reserve the right to change which Content is available for free at any time.
4.5 Refunds
All purchases are processed by and subject to the refund policies of the Platform Providers (Apple or Google). To request a refund, please contact Apple or Google directly through their respective support channels. We do not have the ability to process refunds directly.
5. License and Content Rights
5.1 License Grant
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service and its Content for your personal, non-commercial use.
5.2 Restrictions
You agree not to:
- Copy, reproduce, distribute, publicly display, or create derivative works from any Content, in whole or in part.
- Record, download (except through official offline download features), or capture audio or other Content by any means not expressly authorized by the App.
- Use the Service or Content for any commercial purpose, including but not limited to reselling, licensing, or providing guided tour services based on our Content.
- Reverse engineer, decompile, disassemble, or attempt to extract the source code of the App or any part thereof.
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices.
- Use automated systems, bots, scrapers, or similar tools to access the Service.
- Interfere with or disrupt the integrity or performance of the Service or its infrastructure.
- Circumvent, disable, or otherwise interfere with any security, access control, or digital rights management features of the Service.
- Share your account credentials or allow others to access your account.
5.3 Intellectual Property
All Content, including but not limited to audio recordings, narration scripts, photographs, illustrations, maps, icons, logos, trademarks, trade names, and software, is the exclusive property of Stanza or its licensors and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms transfers any intellectual property rights to you.
5.4 Content Accuracy
While we strive to ensure the accuracy and quality of our Content, audio guides are created using a combination of verified open heritage data and AI-assisted curation. We do not guarantee that all Content is free from errors or omissions. Content is provided for informational and educational purposes and should not be relied upon as the sole source of historical or factual information.
6. Location Data and GPS Features
The Service uses foreground location data to provide GPS-triggered audio tours while the App is open. By enabling location features, you acknowledge and consent to:
- The collection and processing of your real-time foreground location data as described in our Privacy Policy.
- GPS use may impact battery life while the App is open and actively guiding a tour.
- The inherent limitations of GPS technology, including potential inaccuracies in indoor environments, dense urban areas, or areas with weak satellite signals.
We are not responsible for any issues arising from GPS inaccuracies, including but not limited to missed points of interest or incorrectly triggered audio. Location features are not a substitute for official venue maps, signage, or safety instructions.
7. Offline Content and Downloads
The Service allows you to download Content for offline use. Downloaded Content:
- Is stored locally on your device and subject to the same license restrictions as online Content.
- May be automatically removed if your subscription expires or your account is terminated.
- May require periodic online verification to confirm your access rights.
- Should not be extracted, copied, or transferred from the App's storage to other locations or devices.
8. User Conduct
When using the Service, you agree to:
- Comply with all applicable local, national, and international laws and regulations.
- Respect the rules and policies of venues you visit while using our audio guides.
- Use headphones or maintain an appropriate volume in shared spaces.
- Not use the Service in any manner that could damage, disable, overburden, or impair the Service.
- Not attempt to gain unauthorized access to any part of the Service, other accounts, or systems connected to the Service.
9. Availability and Modifications
9.1 Service Availability
We strive to maintain continuous availability of the Service, but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify users of planned maintenance.
9.2 Content Updates
We may add, modify, or remove Content at any time. Venue guides may be updated, expanded, or retired based on partnerships, data availability, or other factors. We are not obligated to maintain any specific Content indefinitely.
9.3 Feature Changes
We may modify, suspend, or discontinue any feature of the Service at any time with or without notice. We will not be liable for any modification, suspension, or discontinuation of the Service or any feature thereof.
10. Disclaimers
10.1 "As Is" Provision
THE SERVICE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.
10.2 No Professional Advice
Content provided through the Service is for informational and entertainment purposes only and does not constitute professional historical, archaeological, architectural, or other expert advice. We are not responsible for any decisions made based on Content accessed through the Service.
10.3 Physical Safety
The Service is not a navigation tool and should not be relied upon for safety-critical navigation. When using GPS-guided tours, remain aware of your surroundings at all times. Follow official venue signage, pathways, and safety instructions. We are not responsible for any injury, damage, or loss incurred while using the Service.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STANZA, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM:
- Your access to, use of, or inability to access or use the Service.
- Any conduct or content of any third party on the Service.
- Any Content obtained from or through the Service.
- Unauthorized access to, use of, or alteration of your transmissions or data.
- GPS inaccuracies or failures.
- Loss of downloaded offline content.
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
12. Indemnification
You agree to indemnify, defend, and hold harmless Stanza and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.
13. Termination
- By You: You may terminate your account at any time by deleting it through the App (Settings → Account → Delete Account) or by contacting us at support@stanzapp.com.
- By Us: We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.
- Effect of Termination: Upon termination, your right to access the Service ceases immediately. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) shall survive.
14. Dispute Resolution
14.1 Informal Resolution
Before initiating any formal dispute proceeding, you agree to first contact us at support@stanzapp.com and attempt to resolve the dispute informally for at least 30 days.
14.2 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Centurix EOOD is incorporated, without regard to conflict of law principles.
14.3 Arbitration
Any dispute arising from or relating to these Terms or the Service that cannot be resolved informally shall be resolved through binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify. The arbitration shall be conducted on an individual basis; class arbitrations and class actions are not permitted.
14.4 Class Action Waiver
YOU AGREE THAT ANY CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
15. General Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Centurix EOOD regarding the Service and supersede all prior agreements, understandings, and representations.
15.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
15.3 Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by us.
15.4 Assignment
You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
15.5 Force Majeure
We shall not be liable for any failure to perform our obligations under these Terms where such failure results from circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, governmental actions, power failures, internet disruptions, or third-party service outages.
16. Changes to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by posting the updated Terms within the App and updating the "Last Updated" date. For significant changes, we will provide additional notice (such as an in-app notification). Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes.
